Adams & Martin Group has partnered with an established and highly regarded law firm is seeking an experienced Senior Corporate Transactional Legal Secretary to support attorneys handling sophisticated corporate, business, and transactional matters.

This position is ideal for a highly organized legal professional who enjoys working on complex transactions, corporate governance matters, contract preparation, and business operations. The successful candidate will serve as a critical member of the legal team, ensuring that transactions are executed efficiently, documentation is meticulously maintained, and attorneys are supported throughout every stage of a matter.

The firm is seeking someone who combines exceptional attention to detail with strong organizational skills, professional judgment, and a proactive approach to client service.

Position Summary

The Senior Corporate Transactional Legal Secretary will provide comprehensive support to attorneys advising businesses, executives, investors, and entrepreneurs on a wide range of corporate and commercial matters.

Unlike a litigation-focused role, this position centers on transaction management, contract administration, entity maintenance, document production, and ongoing corporate support. The ideal candidate understands the importance of precision, confidentiality, responsiveness, and maintaining flawless documentation throughout the lifecycle of a transaction.

Key Responsibilities

Corporate & Transactional Support

  • Prepare, revise, proofread, and finalize contracts, agreements, corporate documents, correspondence, and legal memoranda.
  • Assist with the preparation and management of:
    • Asset purchase agreements
    • Stock purchase agreements
    • Operating agreements
    • Shareholder agreements
    • Partnership agreements
    • Employment agreements
    • Non-disclosure agreements
    • Vendor and commercial contracts
    • Corporate resolutions and consents
  • Maintain corporate records, minute books, and governance documentation.
  • Coordinate entity formations, dissolutions, mergers, conversions, and related filings.
  • Prepare signature packets and manage execution of transactional documents.
  • Organize and maintain transaction files, virtual data rooms, and closing binders.
  • Assist with due diligence review and organization of corporate records.
  • Track transaction milestones, deliverables, and closing requirements.
  • Coordinate communications among attorneys, clients, accountants, financial advisors, lenders, and opposing counsel.

Administrative Support

  • Manage attorney calendars, meetings, deadlines, and project timelines.
  • Schedule client meetings, conference calls, and transaction-related closings.
  • Handle confidential and sensitive client information with discretion.
  • Process incoming and outgoing correspondence.
  • Maintain matter files and document management systems.
  • Support billing, time entry review, and client administrative needs as requested.

Document Production & Quality Control

  • Format, proofread, and edit complex legal documents.
  • Ensure consistency, accuracy, and proper version control throughout transactions.
  • Create document comparison reports and manage revisions.
  • Assemble and distribute closing sets and final executed documents.
  • Produce professional correspondence and client-facing materials.

Qualifications

Required

  • Minimum 5+ years of experience as a corporate, business, transactional, or securities legal secretary.
  • Strong experience supporting attorneys in corporate and commercial transactions.
  • Advanced legal document preparation and formatting skills.
  • Experience maintaining corporate records and governance documents.
  • Exceptional proficiency in Microsoft Word, Outlook, Adobe Acrobat, and Excel.
  • Strong organizational and project management abilities.
  • Outstanding proofreading and grammar skills.
  • Ability to manage multiple matters simultaneously while maintaining accuracy.

Preferred

  • Experience supporting sophisticated corporate, M&A, commercial, real estate, or business transactions.
  • Familiarity with entity formation and Secretary of State filings.
  • Experience with document management systems and electronic workflow tools.
  • Experience utilizing legal technology, automation platforms, and AI-powered productivity tools.
  • Prior experience in a large law firm or high-performance boutique firm environment.
